These Terms & Conditions ("Terms") govern your use of weshowupfirst.com and any services provided by Show Up First, a division of Elite Edge Enterprises LLC, a Texas limited liability company ("we," "us," or "our"). By using this website or engaging our services, you agree to these Terms.

1. Eligibility and age requirement

You must be at least 18 years of age to use this website, to engage our services, or to agree to these Terms. Our services are offered to businesses and to the individuals authorised to act for them, and are not directed to children. By using this website or engaging our services you represent that you are 18 or older and that you have the authority to enter into these Terms on behalf of yourself or the business you represent.

You must also be at least 18 years of age to opt in to receive text messages from us. We do not knowingly collect a mobile number from, or send text messages to, anyone under 18. If we learn that we have collected a mobile number belonging to someone under 18, we will delete it and remove the number from all messaging.

2. Services

We provide local search optimization services for businesses, which may include Google Business Profile setup and management, local SEO, citation management, review generation systems, lead-response automation, and website design and development. The specific services in your engagement are defined in your written proposal or service agreement, which controls if it conflicts with these Terms.

3. The free audit

The Google Business Profile audit offered on this website is provided free of charge and with no obligation. It reflects publicly available information and our professional assessment as of the date it is prepared. It is informational, is yours to keep and use as you wish, and creates no client relationship on its own.

4. Client responsibilities

To do our work we need your cooperation. You agree to:

• Grant manager-level or delegated access to the platforms we manage on your behalf. We do not accept passwords, PINs, or recovery codes, and you should never send them to us or to any vendor.
• Provide accurate business information, including your legal business name, address, phone number, hours, and services.
• Respond within a reasonable time to requests for photos, approvals, and verification steps. Google verification in particular cannot be completed without you.
• Ensure that any content, photos, or trademarks you provide are yours to use.

5. Fees, billing and cancellation

Setup fees are one-time and due before work begins. Management fees are billed monthly in advance. Engagements are month to month unless your written agreement states otherwise; either party may cancel with thirty (30) days' written notice. Fees already paid for the current period are non-refundable, and we will complete the current period's work. On termination, you retain full ownership and control of your Google Business Profile, website, domain, and content.

6. No guarantee of rankings or results

Search rankings are determined by Google and other third parties using algorithms we do not control and that change without notice. We do not and cannot guarantee any specific ranking position, traffic volume, lead volume, call volume, or revenue outcome. Any timelines, projections, or example figures we share are estimates based on prior experience and published industry data, and are not promises. Local search results typically take four to nine months to improve meaningfully.

7. Third-party platforms

Our services depend on platforms operated by third parties, including Google, review sites, directories, hosting providers, and messaging carriers. We are not responsible for their outages, policy changes, account suspensions, or decisions. We will work to comply with their published guidelines and will advise you when a request would violate them — we will not knowingly build a profile in a way that risks suspension, even at a client's request.

9. Intellectual property

Website content, audits, reports, and strategy documents we produce for you become yours upon full payment for the applicable period. Our underlying templates, checklists, processes, and know-how remain ours. Content on this website — text, layout, and branding — is our property and may not be copied for commercial use without written permission.

10. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only to perform under the engagement. We may reference your business by name and describe results in case studies only with your written permission.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or our services is limited to the amount of fees you paid us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunity, even if advised of the possibility.

12. Indemnification

You agree to indemnify and hold harmless Elite Edge Enterprises LLC and Show Up First from claims arising out of content or information you provide, your violation of these Terms or applicable law, or your instruction to take an action that violates a third-party platform's guidelines.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The parties agree to attempt in good faith to resolve any dispute informally before filing any action. Any action that proceeds shall be brought in the state or federal courts located in Harris County, Texas, and the parties consent to that jurisdiction and venue.

14. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the current version. Continued use of the website or our services after a change constitutes acceptance. Material changes affecting an active engagement will be communicated directly.
